TERMS OF SERVICES AND PERFORMANCE
- Supplier agrees with effect from the Commencement Date in consideration of the payment of the Fee by the User to supply the Services on a nonexclusive basis upon the terms and conditions of this Contract.

- The User acknowledges to strict adherence to the User Guidelines given by the Supplier from time to time considering the interest of all other Users and in event of non adherence to the User Guidelines it shall deemed as a breach of this Contract and shall give Supplier right to terminate the Contract after proper Notice.
- In case of a Service Interruption the Supplier shall take all reasonable steps to ensure the restoration of Service.

- The Supplier shall perform the Services with reasonable skill and care and shall as far as possible provide the service uninterrupted.
- The Supplier may have to suspend the Services for Repair, Maintenance or Improvement with Notice to Supplier. The Services may be interrupted or affected during the process of any maintenance, repair or improvement.
- In case of a Critical Problem the service may need to be made unavailable immediately with proper notice and in such a case it shall be restored within a reasonable time.
USER GUIDELINES
The User is under the obligation to strictly follow the User Guidelines issued by the Supplier form time to time. The User Guidelines shall remain in force until superseded, cancelled or suspended by SCP. In case of any change in the same the Supplier is under obligation to give proper Notice of the same for bring into effect any such change.
- Each User will be given a non transferable admin username and password (property of SCP) on signing up with us to manage his team, which the User is not to share with anyone and any such instance would constitute a material breach of this Contract.
- The User is under the obligation to strictly monitor activities of his Team.

ASSIGNMENT AND SUB-CONTRACTING
The User under no circumstances has got any right whatsoever to assign or sub-contract his rights to any third parties and in event of the same the SCP shall have exclusive right to terminate this Contract with proper Notice.
INTELLECTUAL PROPERTY OWNERSHIP
- SCP owns and shall retain all right, title and interests, in and to its software's provided for service including but not limited to, ownership of all copyrights, patents and any other IP Rights if any contained and embodied therein.
- SCP owns all rights, title and interests, related content (excluding Users Content), and any derivatives, suggestions, ideas, enhancement requests, feedback, recommendations or other Information provided by you or any other party relating to the Website or the Services.

WAIVER
